Terms of Service

These Terms of Service and End User License Agreement (“Terms”) are a legal agreement between you and Nexrip governing your download, installation, and use of the Nexrip desktop application (the “Software”), the nexrip.com website, and related services (together, the “Service”). By downloading, installing, or using the Software, or by creating a Nexrip account, you agree to be bound by these Terms. If you do not agree, do not install or use the Software.

Nexrip grants you a personal, limited, non-exclusive, non-transferable, and revocable license to download and use the Software on devices you own or control. The Software itself is provided free of charge. This license does not transfer any ownership of the Software to you and reserves all rights not expressly granted.

The Software is free to install and use. Certain processing operations within the Software (“paid operations”) consume prepaid units called Credits. Credits are spent each time you run a paid operation, at the credit cost displayed before that operation runs.

Purchasing Credits does not unlock any feature permanently — each paid operation deducts its displayed cost from your balance every time it is run. Current per-operation costs and Credit pack prices are shown on the website and inside the Software, and may change over time.

Credits are not money, hold no cash value outside the Service, are non-transferable between accounts, and cannot be redeemed for cash. Purchased Credits do not expire. Some tools are provided free of charge and do not consume Credits.

Certain features, including purchasing and spending Credits, require a Nexrip account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. You must be of legal age to form a binding contract in your jurisdiction to use the Service.

Credits are sold as one-time purchases, not as a subscription. Payments are processed by our third-party payment processor; Nexrip does not receive or store your full payment card details. By purchasing Credits, you authorize the applicable charge to your selected payment method.

If a paid operation fails to complete because of an error in the Service, the Credits for that operation are returned to your balance automatically. Refunds of Credit purchases are handled in accordance with the Refund Policy published on this site. Operations that fail because of unsupported, corrupted, or ineligible input files may be settled as described in the notice shown before the operation runs.

You agree to only process files that you own or that you are legally authorized to process, and to use the Software and any output it produces in compliance with all applicable laws and with any rights attached to the original files.

You agree not to: use the Software to process, distribute, or create infringing, unlawful, or malicious content; attempt to bypass, tamper with, defraud, or interfere with the Credit accounting, account, or licensing systems; reverse engineer, decompile, or disassemble the Software except to the extent this restriction is prohibited by applicable law; or resell, rent, sublicense, or commercially redistribute the Software or access to it.

You are solely responsible for the files you process and for your use of any output the Software produces. See the Acceptable Use Policy for the full rules.

The Software, the Nexrip name and branding, and all associated intellectual property are and remain the property of Nexrip and its licensors. These Terms grant you no rights to Nexrip's trademarks or branding. You retain all rights to your own input files and to the output the Software produces from them, subject to the rights of any third parties in those files.

THE SOFTWARE AND SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NEXRIP DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR FILE WILL PROCESS SUCCESSFULLY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXRIP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SOFTWARE OR SERVICE. NEXRIP'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO NEXRIP IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

We may update these Terms from time to time. Material changes will be announced on the website or within the Software before they take effect. Your continued use of the Software after the changes take effect constitutes your acceptance of the updated Terms.
